Abstract
本稿は、2005－2013年の地域銀行を対象に、取締役会構成と業績の関係について検証する。実証分析の結果、社外取締役選任比率や執行役員の取締役兼任比率で捉えた取締役会の経営からの独立性は業績に影響を与えないことが確認された。この結果は、取締役会の独立性に係る外形基準の制度化は、必ずしも銀行の業績向上にはつながらないことを示唆している。
